Welcome to AI CRED. These Terms of Service ("Terms") govern your access to and use of the AI CRED platform, including our website, services, and any related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

AI CRED is an AI fluency assessment platform designed to evaluate and measure your proficiency in working with artificial intelligence tools and concepts. Our Service provides:

• Conversational AI-driven evaluations across multiple skill categories
• Detailed scoring and feedback on your AI fluency
• Personalized 12-week learning plans based on your assessment results
• Optional public profiles and leaderboard participation
• Progress tracking and skill development resources

The Service operates on a credit-based system where each credit allows you to complete one full evaluation.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Credit System and Payments

AI CRED operates on a credit-based payment system:

• One (1) credit is required for each complete AI fluency evaluation
• Credits can be purchased individually or in packages
• Subscription plans automatically replenish credits on a recurring basis
• Credits do not expire and remain in your account until used
• Credits are non-transferable between accounts

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. Prices are displayed in US dollars and may be subject to applicable taxes.

For subscription plans, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account dashboard.

5. Refund Policy

Our refund policy is as follows:

• Unused credits: Eligible for a full refund if requested within 30 days of purchase
• Used credits: Credits consumed to start an evaluation are non-refundable, regardless of whether the evaluation was completed
• Subscription refunds: Prorated refunds may be available for annual subscriptions canceled within 14 days of renewal

6. User Conduct

When using the Service, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to manipulate or cheat during evaluations
• Use automated tools, bots, or scripts to interact with the Service
• Share your account credentials or allow others to access your account
• Impersonate another person or misrepresent your identity
• Interfere with or disrupt the Service or its infrastructure
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use the Service for any illegal, harmful, or fraudulent purposes
• Harass, abuse, or harm other users or our staff
• Submit false or misleading information in your profile or evaluations

7. Intellectual Property

The Service, including all content, features, and functionality (such as text, graphics, logos, evaluation questions, scoring algorithms, and software), is owned by AI CRED and is protected by United States and international intellectual property laws.

You retain ownership of any content you submit during evaluations. However, by using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze your evaluation responses for the purpose of providing and improving the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Score Accuracy Disclaimer

AI CRED evaluations and scores are generated using artificial intelligence and are provided for informational and educational purposes only. Please understand that:

• Scores reflect an AI-generated assessment of your demonstrated skills during the evaluation
• Scores are honest measurements and may increase or decrease between evaluations based on performance
• Results should not be considered as professional certifications or credentials
• AI assessments have inherent limitations and may not capture all aspects of your abilities
• Scores are not guaranteed to reflect your actual job performance or professional competence

We continuously work to improve our assessment accuracy, but we make no warranties regarding the precision, completeness, or applicability of scores to any specific purpose.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI CRED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Damage to reputation or goodwill
• Cost of substitute services
• Any damages arising from your use or inability to use the Service

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI CRED and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• Requests by law enforcement or government agencies

You may terminate your account at any time by contacting support. Upon termination, your right to use the Service will immediately cease. Unused credits may be forfeited upon account termination for cause.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Notify you via email or through the Service for material changes
• Provide at least 30 days' notice before changes take effect for significant modifications

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI CRED regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
